1. CANIAC CLUB: The Raising Cane’s Caniac Club (the “Caniac Club”) is a customer appreciation program (the “Program”) that has been developed by Raising Cane’s Restaurants, L.L.C. (“Sponsor”) to provide our customers with special “Thank You” offers for being a Member. Benefits of being a Member include: (i) A free box combo just by signing up; (ii) Free food on your birthday, anniversary and special holidays unique to Raising Cane’s; and (iii) Participation in Member-only drawings and give aways for tickets to concerts, sporting events and Caniac gear. By joining the Caniac Club, you agree (and your parent/legal guardian agrees if you are a minor in your jurisdiction of residence) to be bound by these Terms and Conditions of Membership, including any amendments made thereto in the future (the “Terms and Conditions”).

2. ELIGIBILITY FOR MEMBERSHIP: To be eligible for membership in the Caniac Club, you must be at least 13 years of age and a legal resident of the United States as of October 28, 2009 (except residents of Puerto Rico or States where prohibited by law). Employees, owners, and directors of Sponsor, or any of its subsidiaries, affiliates, and related companies, or any of their respective sales representatives, distributors, advertising and promotion agencies, and consultants, or any other company or person involved with the design, production, or execution of the Program, and their immediate family members and members of household, are not eligible for membership in the Caniac Club. The Program is void where prohibited. Further, you may only become a Member in the Caniac Club and participate in the Program if and to the extent that such membership and participation is permitted by applicable laws, rules and regulations.

3. JOINING THE CANIAC CLUB: To become a Member in the Caniac Club, (1) first visit a participating Raising Cane’s Chicken Fingers ® restaurant to pick up your exclusive Caniac Club Card (no purchase necessary), then (2) register your Caniac Club Card online at www.caniacclub.com (the “Website”) and complete the online application. All information submitted must be truthful and accurate. Further, it is your responsibility to make sure that such information remains current and up to date by updating your online profile. Membership begins upon Sponsor’s acceptance of your online application and activation of your online membership account. By joining the Caniac Club, you agree to comply with all applicable laws, rules and regulations and you agree not to engage in conduct detrimental to Sponsor or the Program, including without limitation by registering multiple membership accounts which is prohibited. Further, you acknowledge that you are responsible for restricting access to and maintaining the confidentiality of your membership account and password, and you agree to accept responsibility for the activities of anyone using your account, whether or not authorized by you.

4. CANIAC CLUB PROMOTIONS, BENEFITS AND REWARDS: Information about Caniac Club promotions, benefits and rewards will be posted on the Website and/or sent to your registered Caniac Club email account. If you are a minor in your jurisdiction of residence, certain Caniac Club benefits and rewards may be awarded in the name of, or to, your parent or legal guardian who will be required to execute any and all documents requested by Sponsor and agree to any and all related obligations and undertakings of you, as Member, both on behalf of himself/herself and you, or such benefits and rewards may be forfeited. The Caniac Club Cards are subject to these Terms and Conditions, the terms and conditions of use as indicated thereon, and any additional terms and conditions on the Website and/or in any related email notification sent to your registered Caniac Club email account. For information on how the Caniac Club Cards may be used to redeem benefits and rewards, please visit the Website.

5. LIMITATIONS ON CANIAC CLUB PROMOTIONS, BENEFITS, REWARDS AND MEMBERSHIP: Notwithstanding any information that may appear on the Website or any email notifications to the contrary, Caniac Club promotions, benefits, and rewards are subject to change by Sponsor in its sole discretion at any time and for any reason. Sponsor reserves the right to (i) invalidate purchases, benefits or rewards credited to your membership account if it determines that such purchases, benefits or rewards were improperly credited thereto or obtained improperly; (ii) delay the processing of any benefit or reward, without notice to you, in order to assure compliance with these Terms and Conditions; and (iii) limit Caniac Club membership, or to establish different levels of participation in the Caniac Club that may result in promotions, benefits and rewards that are not available to all Members. Sponsor may, in its sole discretion, suspend or permanently bar your membership in the Caniac Club and/or void or cancel some or all of your Caniac Club benefits and rewards, at any time, for any reason, without notice to you, including but not limited to if Sponsor suspects you have violated these Terms and Conditions (including the spirit and intent thereof) or attempted to disrupt or defraud the Program (including the membership restrictions herein). Further, Sponsor reserves the right to prosecute or seek other legal redress against anyone suspected of engaging in these acts. You should not rely upon the continued availability of the Program, or any rewards, benefits or offers made in connection therewith.

You can have only one membership account in the Caniac Club, regardless of the number of your user identifications, email addresses, and so forth. You can enroll in the Caniac Club for yourself only, and can only participate in the Caniac Club using your own Caniac Club Card and membership account. You cannot participate in the Caniac Club or register or activate a Caniac Club Card on behalf of another person, whether that person be a Member or a non-Member. Members are allowed to have only one active Caniac Club Card at a time. Please visit the Website for instructions on what to do if you lose your Caniac Club Card or if it stops working properly.

6. TERMINATION OF PROGRAM: Sponsor reserves the right in its sole discretion to cancel, terminate, modify, suspend or rescind the Program, any promotion related thereto, or any Caniac Club benefit or reward, in whole or in part, for any reason, including but not limited to if the Program is not capable of being conducted as planned, whether it be due to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, abuse, technical failures, or otherwise. Sponsor also reserves the right in its sole discretion to amend, modify, or supplement these Terms and Conditions from time to time. Your continued membership in the Caniac Club after any modification to the Program and/or these Terms and Conditions will indicate your agreement to and acceptance of any such modification.

7. CANCELLATION OF MEMBERSHIP: You may cancel your membership in the Caniac Club at any time by notifying us by email at info@raisingcanes.com. Any unused Caniac Club benefits and rewards will be forfeited upon termination and de-activation of your online membership account, and your participation in any ongoing Caniac Club promotions will also be terminated.

8. ARBITRATION; LIMITATIONS OF LIABILITY; ETC.: By joining the Caniac Club, you (and your parent/legal guardian if you are a minor in your jurisdiction of residence) acknowledge and agree (i) to be bound by these Terms and Conditions, which include, without limitation, agreement to submit any dispute to arbitration pursuant to the Rules of the American Arbitration Association, in East Baton Rouge Parish, Louisiana without resort to litigation (ii) that any Caniac Club promotions, benefits or rewards are subject to any additional terms, restrictions and limitations applicable thereto as may be indicated on the Website and/or the related email notification from Sponsor; and (iii) that Sponsor has no liability for (o) any inaccurate or incorrect information, whether caused by Sponsor, you, printing, production, typographical, mechanical, technical or other errors, regarding the earning, redemption or accumulation of benefits or rewards or any other aspect of the Program; (p) any delay or failure to credit your membership account or Caniac Club Card, including but not limited to any delay or failure related to human errors; or (q) any failure to timely provide Caniac Club communications and notifications. By joining the Caniac Club, you further agree to waive, release and discharge Sponsor and its subsidiaries, affiliates and related companies and each of their respective officers, directors, members, managers, shareholders, employees, agents, representatives, insurers and their respective successors and assigns from any and all claims, demands, causes of action, liabilities, losses, damages, or expenses of any kind arising out of, in connection with, or relating in any way whatsoever to your membership in the Caniac Club, participation in any related promotion, or receipt, possession, use and/or misuse of any benefit or reward, whether caused in whole or in part by the negligence or fault of any of the parties listed above or otherwise. The Program and the Website are provided “as is”, without warranty or representation of any kind. Sponsor hereby disclaims all warranties and representations of any kind whatsoever, written or oral, express, implied, statutory, or arising by operation of law or course of dealing, relating to the Program and the Website.

9. PRIVACY: Sponsor may obtain certain personal information from you from your membership and participation in the Caniac Club. Please see www.raisingcanes.com/privacy.html for Sponsor’s privacy policy on use of personal information collected in connection with the Caniac Club. Joining the Caniac Club constitutes your (i) acknowledgment and agreement to the terms of Sponsor’s privacy policy and Sponsor’s potential uses of personal information described therein, and (ii) consent, waiver and release of Sponsor for such use, including use by Sponsor or its affiliates or designees for future communications. As set forth in our privacy policy, Sponsor does not sell or trade personal information of its customers or Members to or with other parties. 10. MISCELLANEOUS: By joining the Caniac Club, you agree that the laws of the State of Louisiana will govern your membership and participation therein and these Terms and Conditions, without regard to choice of law principles. These Terms and Conditions shall inure to the benefit of and be binding upon Sponsor and the Members and their respective successors and permitted assigns. Sponsor may assign any of its rights and obligations hereunder to any other party without any Member’s consent. Each Member acknowledges and agrees that it shall not assign any of its rights and obligations hereunder. Any failure by Sponsor to act with respect to a breach of these Terms and Conditions shall not constitute a waiver to act with respect to future or similar breaches. If any provision of these Terms and Conditions is held to be void, invalid, or unenforceable by a court of competent jurisdiction, such provision shall be amended so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms and Conditions shall remain in full force and effect. Sponsor is the final authority as to the interpretation of these Terms and Conditions and as to any other questions or disputes regarding the Caniac Club or any related promotion, benefit or reward (unless expressly stated otherwise). Whenever the context so requires, the singular number includes the plural and vice versa, and a reference to one gender includes the other gender and the neuter.
